1. Agreement to Terms
These Terms of Use (the "Terms") form a binding agreement between you ("you" or "User") and NextConvert ("NextConvert", "we", "us", or "our"), which operates the website and services available at nextconvert.app (the "Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
2. Eligibility
You must be at least 13 years old (or the minimum age required to consent to data processing in your jurisdiction, if higher) to use the Service. By using the Service, you represent that you meet this age requirement and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. The Service
NextConvert is a browser-based media processing platform that converts, compresses, trims, merges, and otherwise transforms video, audio, and image files. The Service runs in your web browser and submits processing jobs to our infrastructure; no software installation is required.
We may add, modify, or remove features at any time. Where a change materially reduces functionality available to paid subscribers within a billing period, we will use reasonable efforts to provide advance notice.
4. Accounts
You may use the Service anonymously, subject to the free-tier limits described below. To access higher limits or paid plans, you must create an account through our authentication provider, Clerk. You agree to provide accurate information at registration, to keep your credentials confidential, and to notify us promptly of any unauthorized use of your account. You are responsible for all activity that occurs under your account.
5. Subscriptions and Billing
5.1 Plans
The Service is offered in the following tiers:
- Free — 30 conversion minutes per month, up to 500 MB per file, watermarked output, limited formats (MP4, MP3, WAV), one file at a time.
- Basic — 2,000 conversion minutes per month, up to 4 GB per file, no watermark, all supported formats, batch processing up to 10 files.
- Pro — unlimited conversion minutes subject to fair use (10,000 per month), up to 10 GB per file, batch processing up to 50 files, GPU-accelerated encoding, API access, priority email support.
5.2 Fees and Renewal
Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe, in the currency displayed at checkout. Subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled. By providing a payment method, you authorize us to charge that method for all applicable fees, taxes, and renewals.
5.3 Cancellation and Downgrade
You may cancel your subscription at any time through the customer portal. Cancellation takes effect at the end of the current billing period; you retain access to the paid plan until then and are not refunded for the remainder of the period (subject to Section 6). If a payment fails and we cannot collect the fees due, we may downgrade your account to the Free tier.
5.4 Usage and Fair Use
Conversion minutes are calculated based on the duration of input media, do not roll over between billing periods, and reset at the start of each period. The Pro plan's "unlimited" minutes are subject to the fair-use cap above; we may contact you if your usage materially exceeds normal individual use.
5.5 Price Changes
We may change subscription prices on prospective renewals. Where prices change, we will notify affected subscribers in advance and you may cancel before the new pricing takes effect.
6. No Refunds
All subscription fees are non-refundable. You may cancel your subscription at any time as described in Section 5.3; cancellation takes effect at the end of the then-current billing period and prevents future charges, but no pro-rata or retrospective refunds are issued. Where applicable consumer-protection law requires us to provide a refund in spite of this section, we will do so to the extent legally required.
7. Acceptable Use
You agree that you will not, and will not permit any third party to:
- Upload, process, or distribute content that is unlawful, infringing, defamatory, obscene, fraudulent, or that violates the rights of any third party (including intellectual property, privacy, and publicity rights).
- Process content that depicts child sexual abuse material, non-consensual intimate imagery, or other content prohibited by law.
- Use the Service to develop or train competing products or to extract, scrape, or harvest data from the Service.
- Circumvent, disable, or interfere with security features, usage limits, rate limits, access controls, or watermarking.
- Use automated tools (bots, crawlers, scripts) to access the Service except through documented API endpoints in accordance with your plan.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent expressly permitted by applicable law.
- Interfere with or disrupt the integrity, performance, or availability of the Service or the infrastructure on which it runs.
- Use the Service to transmit malware, viruses, or other malicious code.
We may investigate suspected violations and, at our discretion, suspend or terminate access, remove content, and cooperate with law enforcement.
8. Your Content
You retain all ownership rights in the files you upload to the Service ("Your Content"). You grant us a limited, non-exclusive, royalty-free, worldwide licence to host, process, transform, transcode, and deliver Your Content solely to the extent necessary to provide the Service to you. We do not use Your Content for any other purpose, do not access it manually except as necessary to investigate abuse or comply with law, and do not sell or share it with third parties.
You are solely responsible for Your Content and represent that you have all rights necessary to upload and process it through the Service. Uploaded and output files are automatically and permanently deleted within 24 hours.
9. Intellectual Property
The Service, including its software, design, layout, logos, branding, and text, is owned by NextConvert and protected by copyright, trademark, and other intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you, by implication or otherwise. You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.
10. Third-Party Services
The Service relies on third-party providers, including Clerk (authentication), Stripe (payments), AWS (storage), Railway (hosting), Vercel (frontend hosting), and Supabase (database). Your use of features powered by these providers is also subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.
11. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. We do not warrant the accuracy, completeness, or reliability of any output produced by the Service. You use the Service at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NEXTCONVERT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to us in the twelve (12) months preceding the event giving rise to liability, or (b) one hundred US dollars (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
13. Indemnification
You agree to defend, indemnify, and hold harmless NextConvert and its officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any applicable law or third-party right.
14. Termination
You may stop using the Service and close your account at any time through the customer portal or by contacting support. We may suspend or terminate your access to the Service at any time, with or without notice, for any conduct that we believe violates these Terms or is otherwise harmful to other users, the Service, or third parties.
Upon termination, your right to use the Service ends immediately, and we may delete your account data and files in accordance with our Privacy Policy. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.
15. Changes to These Terms
We may revise these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were last changed. For material changes, we will use reasonable efforts to notify you (for example, by email to the address on your account or by prominent notice on the Service). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of [Jurisdiction], without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the competent courts of [Jurisdiction], and you consent to the personal jurisdiction of those courts. Nothing in this section limits any rights you have as a consumer under mandatory local law.
Before filing a formal claim, you agree to first contact us at support@nextconvert.app and attempt to resolve the dispute informally for at least 30 days.
17. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and NextConvert regarding the Service.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, labour disputes, internet outages, or third-party service failures.
